Terms of Service

1. Certificate Retention

While your account has an active paid subscription or free trial, we store your issued certificates and you can download PDF copies at any time from your dashboard.

If your subscription or trial ends and your account moves to the Free plan, you have ninety (90) days from that date to download your certificates. After that, certificates issued before the move may be permanently deleted. Certificates issued on the Free plan are kept for ninety (90) days from the date of issue and may then be permanently deleted. Phase Logic Ltd does not store certificates on Free accounts beyond these periods.

You are responsible for keeping your own copy of every certificate you issue. New Zealand electrical regulations require the person who issues a certificate to keep a copy for at least seven (7) years; WireWrite is not a records archive for that purpose. Phase Logic Ltd accepts no liability for loss of certificate data due to unforeseen circumstances including but not limited to service outages, data corruption, or account termination.

2. Draft Certificate Retention

Draft certificates (certificates that have not been issued) will be retained for ninety (90) days from the date they were last modified. After this period, draft certificates may be permanently deleted without notice.

If you wish to keep a draft certificate, you must either issue it or update it within the 90-day period.

3. Account Security

You are responsible for maintaining the security of your account credentials. We provide two-factor authentication (2FA) and strongly encourage all users to enable it in their account settings.

We implement reasonable technical and organisational measures to protect your data, including encryption in transit and at rest. However, no method of electronic storage is 100% secure, and we cannot guarantee absolute security.

You must notify us immediately if you become aware of any unauthorised access to your account.

4. Acceptable Use

The Service is intended for use by licensed electrical workers in New Zealand for creating legitimate electrical compliance certificates. You agree not to:

• Create fraudulent or misleading certificates
• Use the Service for any unlawful purpose
• Share your account credentials with others
• Attempt to circumvent any security measures
• Use the Service to harass, abuse, or harm others

5. Subscription and Billing

All new accounts receive a 30-day free trial. After the trial period, a paid subscription is required to continue creating certificates beyond the Free plan allowance. WireWrite is sold per seat — sole traders buy 1 seat, and seats can be added or removed at any time — billed monthly or annually as selected at the time of purchase. All prices are in New Zealand Dollars (NZD) and are exclusive of GST (added at checkout). Individual Pro subscriptions purchased before 27 September 2026 continue on their existing terms and pricing until cancelled.

You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period. After that, your account moves to the Free plan (up to 3 certificates in any 30 days, issued with WireWrite branding) until you resubscribe. You then have ninety (90) days to download your certificates before they may be permanently deleted (see section 1). For details on managing your subscription see our billing help guide.

We reserve the right to change pricing with 30 days' notice. Existing subscribers will be notified by email.

Financials (invoicing and payment claims) has its own pricing terms in section 9.6.

6. Digital Signatures

Certificates created through the Service include digital signatures captured via your device. By using the signature feature, you confirm that any signature you apply is your own and that you are authorised to issue the certificate.

Digital signatures on WireWrite certificates are accepted by the Electrical Workers Registration Board (EWRB) as valid signatures for the purposes of electrical compliance documentation.

7. EWRB Practising Licence Requirement

Access to certificate issuing is conditional upon entering your EWRB registration number, licence class and practising licence expiry date in Settings, and confirming that you hold a current practising licence. You must hold a current practising licence issued by the Electrical Workers Registration Board (EWRB) to use this feature.

If your practising licence expires, your access to certificate issuing will be suspended immediately. You will not be able to issue certificates until you renew it and update the expiry date in Settings.

It is solely your responsibility to maintain a current EWRB practising licence and to update your licence details in WireWrite when renewed. Phase Logic Ltd will not monitor licence expiry on your behalf, nor provide reminders beyond those displayed within the application.

No refunds will be provided for any subscription period during which your access is suspended due to an expired practising licence. Subscriptions continue to be billed regardless of licence status. You may cancel your subscription at any time through the billing portal.

By ticking the confirmation, you declare that the registration details you enter are your own, genuine, accurate and current. Phase Logic Ltd does not verify them with the EWRB. See our EWRB verification guide for the steps.

8. Electrical Calculators

WireWrite provides electrical calculators (Cable Sizer, Voltage Drop, Maximum Demand, Circuit Check, Earth Fault, Solar String, Ohm's Law) as a convenience tool. These calculators are a guide only and must not be relied upon for design decisions or compliance verification.

Calculator results are based on simplified assumptions and standard conditions. They do not account for all installation variables including but not limited to: cable grouping, ambient temperature variations, thermal insulation, harmonic loads, or site-specific conditions.

It is the responsibility of the licensed electrical worker to verify all calculations against AS/NZS 3000, AS/NZS 3008, and any other applicable standards before specifying or installing any electrical equipment or cables.

Phase Logic Ltd accepts no responsibility or liability for any loss, damage, or non-compliance arising from reliance on calculator outputs.

9. Financials: Invoices, Payment Claims and Client Emails

Financials (available in New Zealand) helps you prepare invoices and tax invoices for your own clients, prepare payment claims under the Construction Contracts Act 2002, share them by link or email, and export invoices to Xero. Financials is a document-preparation tool only:

• WireWrite does not process, collect, hold or transfer any payment between you and your clients.
• Phase Logic Ltd is not a party to any agreement, contract or dispute between you and your clients, and is not a debt collection agency.
• Nothing in the Service is tax, accounting or legal advice.

9.1 Your responsibility for invoices

You are solely responsible for every invoice you issue through the Service, including its amounts, GST treatment, your GST registration status and GST number, your client's details, and compliance with the Goods and Services Tax Act 1985 and the Tax Administration Act 1994 (including the taxable supply information requirements). Check every invoice before you issue or send it. Issued invoices cannot be edited; corrections are made by voiding the invoice and issuing a new one.

You must keep your own business records for as long as the law requires (generally seven (7) years for Inland Revenue). Export your invoices to your accounting system or download them. WireWrite is not a records archive for that purpose.

9.2 Bank account and GST details

The bank account and GST number shown on your invoices are the details entered in your account. You are responsible for checking they are correct and for keeping your account secure (we strongly recommend two-factor authentication). The bank-account check in WireWrite only tests the number's format and check digits; it does not confirm who owns the account. Phase Logic Ltd is not responsible for any payment made to an incorrect account, including where details were entered incorrectly, changed by someone with access to your account, or altered by a third party after an invoice left the Service.

9.3 Payment claims

The payment claim feature prepares a document intended to meet section 20 of the Construction Contracts Act 2002, priced from one of your issued invoices. Whether a payment claim is valid and properly served is your responsibility. That includes correctly identifying the construction contract, the work and the period, setting a due date consistent with your contract, attaching Form 1 from the Construction Contracts Regulations 2003 (which must accompany every payment claim), and serving the claim on the correct person in the correct way. Payment claims are not stored in WireWrite. Seek legal advice for any dispute, payment schedule or adjudication.

9.4 Share links and emails sent for you

Anyone who has an invoice share link can view that invoice, including your bank details, until the link expires (90 days) or you revoke it. You are responsible for who you send links to.

When you email an invoice from WireWrite, it is sent on your behalf from noreply@wirewrite.co.nz to the client email on the invoice, with replies going to your business email. You confirm that you are entitled to send that email to that person. We do not guarantee that any email is delivered, delivered on time, or not filtered as spam; confirm receipt with your client where it matters. We apply sending limits to protect the Service and may change them. You must not use the Service to send unsolicited or misleading messages.

9.5 Xero export

The Xero export is a CSV file provided for your convenience. Check your invoices in Xero after importing them. Phase Logic Ltd is not affiliated with Xero and is not responsible for how Xero processes the file.

9.6 Financials pricing

Financials is included at no extra charge with paid subscriptions until the end of 5 November 2026 (New Zealand time), and during free trials. After that date Financials is an optional add-on to a paid subscription with at least one seat, charged at NZ$10 a month plus GST per company (not per seat), billed monthly in advance. It is only charged if you choose to add it, and you can cancel it at any time from the billing portal; it then ends at the end of the period you have paid for. If your subscription ends, the Financials add-on ends with it. Without the add-on you can still view and export invoices you have already issued.

9.7 Company accounts

In a company account, the Manager decides whether Employees can create invoices, and controls the company's GST and bank details. The company is responsible for every invoice, payment claim and email its team members create or send through the Service.

10. Company Accounts

Company account administrators are responsible for managing their team members and ensuring all users comply with these terms. The company administrator is responsible for:

• Managing employee access and permissions
• Ensuring all team members hold valid EWRB registration
• Maintaining accurate billing information
• Revoking access for employees who leave the company

11. Intellectual Property

The certificates you create using the Service are your property. We do not claim ownership of your certificate content, signatures, or client data.

The WireWrite software, design, branding, and documentation are the intellectual property of Phase Logic Ltd and are protected by copyright law.

12. Limitation of Liability

In this section and the next, "Phase Logic" means Phase Logic Ltd, WireWrite (the Service and brand it operates), and their directors, employees, contractors and suppliers.

Business use. You acquire the Service for the purposes of a business. To the extent permitted by law, the Consumer Guarantees Act 1993 does not apply, and you agree that it is fair and reasonable that sections 9, 12A and 13 of the Fair Trading Act 1986 do not apply, to your use of the Service.

Provided "as is". The Service is provided "as is" and "as available". Phase Logic does not warrant that the Service will be uninterrupted or error-free, or that any certificate, invoice, payment claim, calculation or other document it produces is accurate, complete or meets any legal, tax or regulatory requirement.

Your responsibility. WireWrite is a tool that helps you prepare documents. The accuracy, compliance and use of every certificate, invoice, payment claim and email you create or send through the Service remain your responsibility (or the certifying electrical worker's, for certificates).

Exclusions. To the maximum extent permitted by law, Phase Logic is not liable for any loss, damage, cost or claim arising from or in connection with:

• errors or omissions in certificate, invoice or payment claim content, or regulatory, tax or GST non-compliance;
• payments that are not made, are late, are made to the wrong account, or are lost to fraud;
• a payment claim that is invalid, not properly served, or does not protect your rights under the Construction Contracts Act 2002;
• emails that are not delivered, are delayed, are filtered as spam, or go to an address you entered incorrectly;
• service outages, data corruption or data loss; or
• any indirect or consequential loss, or any loss of profit, revenue, business, goodwill or data.

Cap. To the maximum extent permitted by law, Phase Logic's total liability to you for all claims arising from or in connection with the Service, whether in contract, tort (including negligence), under statute or otherwise, is limited to the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or NZ$100 if you have paid us nothing.

Nothing in these terms limits any liability that cannot be limited or excluded by law. Each person included in "Phase Logic" may rely on this section.

13. Indemnity

You indemnify Phase Logic against any claim, loss, cost or liability (including reasonable legal costs) brought by a third party, including your clients, payers and any government agency, arising from the certificates, invoices, payment claims or emails you create or send through the Service, the information you enter, or your breach of these terms or of any law.

14. Account Termination

We reserve the right to suspend or terminate your account if you breach these terms, engage in fraudulent activity, or fail to pay subscription fees.

After termination of an account for any reason, all issued certificates and associated data will be permanently removed after thirty (30) days. Draft certificates will be deleted immediately. We strongly recommend downloading copies of all certificates before account closure.

Issued invoices and their email and share-link records are kept as described in our Privacy Policy (section 7), so that the business that issued them can still obtain copies for its tax records. Export your invoices before closing your account.

15. Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, share, store and protect your personal information — including data obtained via Google sign-in, how long we keep it, and how to request deletion.

16. Changes to Terms

We may update these terms from time to time. Material changes will be communicated by email or through a notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated terms.

17. Governing Law

These terms are governed by the laws of New Zealand. Any disputes arising from your use of the Service shall be subject to the exclusive jurisdiction of the courts of New Zealand.
